Agreement Overview

This Beta User Agreement (“Agreement”) is made between QMS2GO (“Company”) and the Beta User (“User”). The Agreement governs the terms and conditions under which the User may access and use the QMS2GO platform and services during the beta testing phase.

1. Definitions

• “Beta Testing” refers to the phase where the QMS2GO platform is made available to a limited number of users for testing and feedback.
• “Services” refer to the AI-compliance assistant tools, features, and support provided by QMS2GO.
•  “Confidential Information” includes all information disclosed by the Company to the User that is marked as confidential or would reasonably be understood to be confidential.

2. Participation and Use

• The User agrees to actively participate in the Beta Testing of QMS2GO, including using the platform and providing feedback on its performance, features, and usability.
• The User shall use the Services solely for their internal business purposes and in accordance with the terms of this Agreement.
• The User agrees not to sublicense, transfer, or otherwise distribute access to the Services without the prior written approval of the Company.

3. Fees and Packages

The User may select from the following beta packages, which are monthly recurring fees until canceled:

• $300 Package: Includes a review of procedures and expert advice prior to implementation.
• $1,500 Package: Includes premium online consultation with certified, experienced consultants.
• $2,500 Package: Includes an elite quarterly visit by auditors to ensure actual compliance.

All fees are due upon selection of the package and are non-refundable except as expressly provided in the “Money-Back Guarantee” section.

4. Money-Back Guarantee

• The User may request a full refund for any reason within 30 days of purchase. To request a refund, the User must contact the Company through the provided support channels.

5. Confidentiality

• The User agrees to keep all Confidential Information received from the Company strictly confidential and not to disclose it to any third party without the Company’s prior written consent.
• This obligation of confidentiality shall continue for a period of two years after the termination of this Agreement.

6. Intellectual Property

• The Company retains all rights, title, and interest in and to the QMS2GO platform, including all intellectual property rights therein.
• The User agrees not to reverse engineer, decompile, or disassemble any part of the QMS2GO platform.

7. Limitation of Liability

• The QMS2GO platform is provided “as is” without any warranties, express or implied.
• In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

8. Termination

• Either party may terminate this Agreement at any time upon written notice to the other party.
• Upon termination, the User shall cease all use of the QMS2GO platform and return or destroy all Confidential Information.

9. Sub-Publishing Restriction

• The User is prohibited from sublicensing, publishing, or otherwise distributing the Services or any part thereof without the Company’s prior written approval.

10. Feedback

• The User agrees to provide feedback on the QMS2GO platform, including any bugs, errors, or suggestions for improvements. The Company may use such feedback for any purpose without obligation to the User.

11. Additional Benefits

• The User will receive hands-on support from our experts to implement the QMS effectively.
• The User will enjoy a lifelong 30% annual discount on the Services.
• The User will be eligible to earn affiliate fees.
• The User will get early access to new features as they are developed.

12. Miscellaneous

• This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings.
• This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company is headquartered.
• Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided by the parties.
